The agreement governing your use of the Shipsy platform and website.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Shipsy Technologies Private Limited ("Shipsy", "we", "our", or "us"). By accessing or using the Shipsy website (shipsy.ai) or platform, you agree to be bound by these Terms. If you do not agree, do not use our services.
If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
Shipsy provides an AI-native logistics management platform ("Platform") that enables enterprises to plan, execute, and optimise supply chain and logistics operations. The Platform includes transportation management, warehouse management, route optimisation, shipment tracking, freight procurement, and AI agent capabilities (AgentFleet), among other modules.
You may use the Platform solely for your internal business operations in accordance with the applicable subscription plan and these Terms.

The Platform, including all software, algorithms, models, user interfaces, documentation, trademarks, and related intellectual property, is and remains the exclusive property of Shipsy. These Terms do not grant you any ownership rights.
You retain all rights to the data you upload to or generate through the Platform ("Customer Data"). You grant Shipsy a limited licence to process Customer Data solely to provide the services.
If you provide suggestions, ideas, or feedback about the Platform, Shipsy may use such feedback without restriction or obligation to you.
Shipsy processes personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR where applicable. Where Shipsy processes personal data on your behalf, the parties will enter into a Data Processing Agreement.
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties except as necessary to perform obligations under these Terms, with the recipient's prior consent, or as required by law.
Shipsy will use commercially reasonable efforts to maintain Platform availability as specified in the applicable Service Level Agreement (SLA). Support is provided according to the support plan included in your subscription.
Shipsy warrants that the Platform will perform materially in accordance with its documentation during your subscription term.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE PLATFORM IS PROVIDED "AS IS". SHIPSY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPSY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL SHIPSY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE THEORY OF LIABILITY.
You agree to indemnify and hold harmless Shipsy from any claims, damages, or expenses arising from your use of the Platform in violation of these Terms, your breach of applicable laws, or your Customer Data.
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India, unless otherwise agreed in your Order Form.
Shipsy may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date and, where required, by email. Continued use of the Platform after changes constitutes acceptance.
