Terms of Service

The agreement governing your use of the Shipsy platform and website.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Shipsy Technologies Private Limited ("Shipsy", "we", "our", or "us"). By accessing or using the Shipsy website (shipsy.ai) or platform, you agree to be bound by these Terms. If you do not agree, do not use our services.

If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. Description of Services

Shipsy provides an AI-native logistics management platform ("Platform") that enables enterprises to plan, execute, and optimise supply chain and logistics operations. The Platform includes transportation management, warehouse management, route optimisation, shipment tracking, freight procurement, and AI agent capabilities (AgentFleet), among other modules.

3. Account Registration

  • You must provide accurate, current, and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify Shipsy immediately of any unauthorised use of your account

4. Use of the Platform

4.1 Permitted use

You may use the Platform solely for your internal business operations in accordance with the applicable subscription plan and these Terms.

4.2 Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform to build a competing product or service
  • Share, sublicense, or resell access to the Platform without written consent
  • Upload malicious code, interfere with Platform operations, or exploit vulnerabilities
  • Use the Platform in any manner that violates applicable laws or regulations
  • Exceed the usage limits specified in your subscription plan

5. Subscription and Payment

  • Access to the Platform is provided under subscription plans as agreed in your Order Form or service agreement
  • Fees are invoiced as specified in the Order Form and are due within the agreed payment terms
  • All fees are non-refundable unless otherwise stated in your agreement
  • Shipsy reserves the right to modify pricing with 30 days' written notice before the next renewal period

6. Intellectual Property

6.1 Shipsy IP

The Platform, including all software, algorithms, models, user interfaces, documentation, trademarks, and related intellectual property, is and remains the exclusive property of Shipsy. These Terms do not grant you any ownership rights.

6.2 Customer data

You retain all rights to the data you upload to or generate through the Platform ("Customer Data"). You grant Shipsy a limited licence to process Customer Data solely to provide the services.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Platform, Shipsy may use such feedback without restriction or obligation to you.

7. Data Protection

Shipsy processes personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR where applicable. Where Shipsy processes personal data on your behalf, the parties will enter into a Data Processing Agreement.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties except as necessary to perform obligations under these Terms, with the recipient's prior consent, or as required by law.

9. Service Levels and Support

Shipsy will use commercially reasonable efforts to maintain Platform availability as specified in the applicable Service Level Agreement (SLA). Support is provided according to the support plan included in your subscription.

10. Warranties and Disclaimers

Shipsy warrants that the Platform will perform materially in accordance with its documentation during your subscription term.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE PLATFORM IS PROVIDED "AS IS". SHIPSY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPSY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SHIPSY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE THEORY OF LIABILITY.

12. Indemnification

You agree to indemnify and hold harmless Shipsy from any claims, damages, or expenses arising from your use of the Platform in violation of these Terms, your breach of applicable laws, or your Customer Data.

13. Term and Termination

  • These Terms are effective from the date you first access the Platform and continue for the duration of your subscription
  • Either party may terminate for cause if the other party materially breaches these Terms and fails to cure within 30 days of written notice
  • Upon termination, your access to the Platform will be suspended and Customer Data will be available for export for 30 days, after which it may be deleted
  • Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India, unless otherwise agreed in your Order Form.

15. Changes to These Terms

Shipsy may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date and, where required, by email. Continued use of the Platform after changes constitutes acceptance.

16. General Provisions

  • Entire agreement — These Terms, together with any Order Form and applicable policies, constitute the entire agreement between the parties
  • Severability — If any provision is found unenforceable, the remaining provisions remain in full force
  • Assignment — You may not assign these Terms without Shipsy's prior written consent
  • Waiver — Failure to enforce any provision does not constitute a waiver of that provision
  • Force majeure — Neither party shall be liable for delays caused by events beyond reasonable control
